一、定义与协议接受
GuGuData 服务是指 GuGuData 提供的网站、数据接口、功能接口、接口文档、示例、开发者中心、订单管理、技术支持以及与前述服务相关的在线服务。
用户是指注册、访问、购买、调用或以其他方式使用 GuGuData 服务的自然人、法人或其他组织。若您代表组织使用本服务，您确认已获得该组织的合法授权。
您通过注册账户、勾选同意、提交订单、支付费用、调用接口或继续使用服务，即表示您已阅读并接受本协议。本协议、订单页面、接口文档、服务说明和 GuGuData 公示的相关规则共同构成双方关于本服务的完整约定。
二、协议变更与通知
GuGuData 可根据业务发展、服务调整或法律法规变化更新本协议。涉及用户重大权益的变更，我们将通过网站公告、站内提示、邮件、短信或其他合理方式进行提示。
协议更新后，如您继续使用本服务，视为您接受更新后的协议；如您不同意更新内容，应停止使用相关服务。对于已购买且仍在有效期内的服务，除法律法规、监管要求、安全风险或不可抗力另有要求外，GuGuData 不会通过协议变更实质性降低您已获得的核心服务权益。
三、账户、身份与密钥安全
您应提供真实、准确、完整、有效的账户和订单信息，并在信息变化时及时更新。因信息不准确或未及时更新导致服务无法交付、通知无法送达或权益受损的，由您自行承担相应后果。
您应妥善保管账户、密码、AppKey、访问凭证和内部调用权限。未经 GuGuData 书面同意，您不得转让、出租、出借、共享、售卖账户或密钥。因您保管不善、授权不当、前端暴露、公开仓库泄露或内部管理缺失导致的调用、费用、数据泄露或其他损失，由您自行负责；但 GuGuData 依法应承担的责任不因此免除。
如您发现账户或密钥存在泄露、被盗用或异常调用，应立即通过官方渠道联系 GuGuData，并根据安全建议及时更换密钥、调整权限或暂停调用。
四、服务使用规范
您应按照接口文档、订单约定、调用频率、授权范围和适用法律法规使用本服务，不得从事危害国家安全、公共利益、网络安全、数据安全、个人信息权益、知识产权或第三方合法权益的行为。
未经 GuGuData 书面许可，您不得对服务进行逆向工程、规避限流或鉴权、批量抓取超出授权范围的数据、绕过计费或安全策略，或以可能影响服务稳定性的方式进行高频、恶意、攻击性或异常调用。
如您的使用行为涉及个人信息、重要数据、敏感数据或受监管行业数据，您应自行确认具备合法处理依据、必要授权、告知同意、安全保护措施和跨境传输合规条件，并对您的处理活动承担相应责任。
五、费用、开通与退款
您应按照页面展示的价格、订单条款和支付流程支付相应费用。服务开通、有效期、调用额度、QPS 能力、白名单、发票和售后支持以订单页面、接口文档和双方另行书面确认的内容为准。
数据接口通常属于在线数字服务，可能在购买后即时开通并产生数据交付、接口调用、计算资源或第三方成本。对于已发生实际调用、已交付数据或已消耗服务资源的订单，退款将结合接口性质、使用记录、服务可交付性、页面提示和适用法律法规处理。
如因 GuGuData 原因导致已购买服务无法开通、无法交付或持续无法达到订单约定的基本服务能力，您可通过官方渠道申请处理，GuGuData 将依法提供修复、延期、替换、退款或其他合理解决方案。
六、知识产权与数据使用
GuGuData 网站、软件、接口文档、页面设计、示例、技术方案、商标、标识及相关内容的知识产权归 GuGuData 或相应权利人所有。未经许可，您不得复制、改编、分发、出售、出租、再许可或用于超出授权范围的用途。
您通过本服务获得的数据，可能来源于公开渠道、第三方授权、合作方、用户输入或 GuGuData 自有整理。您可在订单授权范围内为自身业务目的使用已购买的数据，但不得将数据整体转售、镜像分发、开放下载、用于构建与 GuGuData 实质竞争的服务，或用于违法违规场景。
如接口说明、订单页面或双方书面约定对特定数据的使用范围、更新频率、商业使用、再分发、缓存或保留期限有更严格要求，应以该等约定为准。
七、个人信息与数据安全
GuGuData 将依据合法、正当、必要和诚信原则处理用户账户、订单、支付、调用日志、设备、网络和安全审计信息，并仅在实现服务交付、安全保障、客户支持、合规审计、争议处理和法律法规要求所必要的范围内使用。
GuGuData 将采取合理的技术和管理措施保护相关信息安全，包括访问控制、日志审计、传输加密、权限管理和安全监测等。请理解，互联网服务无法保证绝对安全，用户也应落实自身系统、密钥和访问权限的安全管理。
如您向 GuGuData 提交或通过接口处理包含个人信息的数据，您应确保该等数据来源合法，并已依法完成必要的告知、同意、授权、安全评估或其他合规手续。
八、服务风险、责任限制与法定责任保留
GuGuData 将以合理商业努力提供稳定、可用、准确的数据与接口服务，但数据可能受来源更新、网络环境、第三方系统、政策调整、缓存周期、不可抗力或技术故障影响。除双方明确书面约定外，GuGuData 不承诺数据或服务在任何时间均绝对准确、完整、连续、无误或适合您的全部特定目的。
您应根据业务重要性自行进行数据校验、监控告警、异常兜底、备份、容灾、人工复核和专业判断。涉及投资、医疗、法律、教育升学、公共安全、信贷风控或其他高风险决策的，应结合权威来源和专业意见，不应仅依赖单一接口结果。
在法律允许的最大范围内，GuGuData 不对因使用或无法使用本服务产生的间接损失、附带损失、特殊损失、后果性损失、惩罚性赔偿、利润损失、商誉损失、业务中断或数据丢失承担责任。但本协议任何内容均不排除或限制 GuGuData 因故意、重大过失、造成对方人身损害、依法不能免责的财产损失或其他依法不得排除的责任。
九、服务调整、暂停与终止
为保障安全、稳定和合规，GuGuData 可根据维护升级、容量调整、风险控制、法律法规、监管要求、第三方依赖变化或用户违规情况，对服务进行必要调整、暂停或终止。对于重大影响，我们将在合理范围内提前或及时通知。
如您违反本协议、订单约定、接口文档或法律法规，GuGuData 有权采取限制调用、暂停服务、冻结账户、终止服务、要求整改或追究法律责任等措施。对于紧急安全风险、违法违规风险或可能造成重大损害的行为，GuGuData 可先行采取处置措施。
十、用户赔偿与协助义务
若因您违法违规使用服务、超范围使用数据、侵犯第三方权益、泄露密钥、违反本协议或未取得必要授权，导致 GuGuData 或其关联方遭受索赔、处罚、损失、成本或费用，您应依法承担相应责任，并配合 GuGuData 进行调查、取证、通知、整改和争议处理。
十一、法律适用与争议解决
本协议的订立、生效、解释、履行、变更、终止及争议解决适用中华人民共和国大陆地区法律。因本协议或本服务产生的争议，双方应先友好协商；协商不成的，任一方可向 GuGuData 主要经营地有管辖权的人民法院提起诉讼。
十二、其他
本协议部分条款被认定无效、违法或不可执行的，不影响其他条款的效力。双方应在合法、合理且最接近原条款目的的范围内替代或调整相关条款。
GuGuData 未行使或延迟行使本协议项下权利，不构成对该权利的放弃。本协议标题仅为阅读便利设置，不影响条款解释。

This English version is provided for convenience and corresponds to the Chinese version above. In case of any inconsistency, the Chinese version shall prevail, without prejudice to users' mandatory statutory rights under applicable law.
1. Definitions and Acceptance
GuGuData Services means the GuGuData website, data APIs, functional APIs, API documentation, examples, developer console, order management, technical support, and related online services.
User means any individual, legal entity, or organization that registers for, accesses, purchases, calls, or otherwise uses the GuGuData Services. If you use the Services on behalf of an organization, you confirm that you are duly authorized to do so.
By registering an account, checking an agreement box, submitting an order, making payment, calling an API, or continuing to use the Services, you acknowledge that you have read and accepted this Agreement. This Agreement, order pages, API documentation, service descriptions, and rules published by GuGuData together constitute the complete agreement regarding the Services.
2. Changes and Notices
GuGuData may update this Agreement due to business development, service adjustments, or changes in laws and regulations. For changes that materially affect user rights, GuGuData will provide notice through website announcements, in-product notices, email, SMS, or other reasonable means.
If you continue using the Services after an update, you will be deemed to have accepted the updated Agreement. If you do not agree, you should stop using the relevant Services. For paid Services within an active term, GuGuData will not materially reduce the core service rights already purchased, except where required by law, regulation, security risk, force majeure, or other valid reasons.
3. Account, Identity, and Key Security
You must provide true, accurate, complete, and valid account and order information and update it promptly. You are responsible for consequences caused by inaccurate or outdated information.
You are responsible for safeguarding your account, password, AppKey, access credentials, and internal permissions. Without GuGuData's written consent, you may not transfer, rent, lend, share, sell, or otherwise make available your account or keys. You are responsible for calls, fees, data leakage, or losses caused by improper custody, unauthorized authorization, front-end exposure, public repository leakage, or internal management failures, without excluding any liability that GuGuData must bear under law.
If you discover leakage, theft, or abnormal use of your account or keys, you should immediately contact GuGuData through official channels and follow security recommendations such as key rotation, permission adjustment, or temporary suspension.
4. Service Use Rules
You must use the Services in accordance with API documentation, order terms, call frequency limits, authorization scope, and applicable laws and regulations. You may not use the Services to endanger national security, public interests, network security, data security, personal information rights, intellectual property rights, or lawful rights of third parties.
Without GuGuData's written consent, you may not reverse engineer the Services, circumvent rate limits or authentication, batch access data beyond the authorized scope, bypass billing or security measures, or make high-frequency, malicious, attacking, or abnormal calls that may affect service stability.
If your use involves personal information, important data, sensitive data, or regulated industry data, you are responsible for confirming lawful processing grounds, necessary authorization, notice and consent, security protection measures, and cross-border transfer compliance conditions.
5. Fees, Activation, and Refunds
You must pay the applicable fees in accordance with the displayed prices, order terms, and payment process. Service activation, term, call quota, QPS capability, whitelist, invoices, and support are subject to the order page, API documentation, and any separate written confirmation.
Data APIs are generally online digital services and may be activated immediately after purchase, causing data delivery, API calls, computing resources, or third-party costs. For orders where actual calls have occurred, data has been delivered, or resources have been consumed, refunds will be handled based on the API nature, usage records, service deliverability, page notices, and applicable laws and regulations.
If the purchased Service cannot be activated, delivered, or continuously fails to meet the basic service capability agreed in the order due to reasons attributable to GuGuData, you may request support through official channels. GuGuData will provide repair, extension, replacement, refund, or other reasonable remedies in accordance with law.
6. Intellectual Property and Data Use
GuGuData's website, software, API documentation, page designs, examples, technical solutions, trademarks, logos, and related content are owned by GuGuData or the respective right holders. You may not copy, adapt, distribute, sell, rent, sublicense, or use them beyond the authorized scope without permission.
Data obtained through the Services may originate from public sources, third-party authorization, partners, user input, or GuGuData's own organization and processing. You may use purchased data for your own business purposes within the order authorization scope, but may not resell, mirror, distribute, provide open downloads of, or use the data to build services substantially competing with GuGuData, or use it for unlawful scenarios.
If API descriptions, order pages, or written agreements provide stricter requirements for specific data regarding use scope, update frequency, commercial use, redistribution, caching, or retention, such requirements shall prevail.
7. Personal Information and Data Security
GuGuData will process user account, order, payment, call log, device, network, and security audit information under the principles of lawfulness, legitimacy, necessity, and good faith, and only to the extent necessary for service delivery, security protection, customer support, compliance audit, dispute handling, and legal requirements.
GuGuData will take reasonable technical and organizational measures to protect information security, including access control, log audit, transmission encryption, permission management, and security monitoring. Please understand that no internet service can guarantee absolute security, and users should also secure their own systems, keys, and access permissions.
If you submit or process data containing personal information through GuGuData, you must ensure lawful data sources and complete necessary notice, consent, authorization, security assessment, or other compliance procedures.
8. Service Risks, Limitation of Liability, and Statutory Liability Reservation
GuGuData will use reasonable commercial efforts to provide stable, available, and accurate data and API services. However, data may be affected by source updates, network conditions, third-party systems, policy changes, cache cycles, force majeure, or technical failures. Unless expressly agreed in writing, GuGuData does not warrant that all data or services will be absolutely accurate, complete, continuous, error-free, or suitable for all of your specific purposes at all times.
You should conduct data verification, monitoring and alerts, fallback handling, backup, disaster recovery, human review, and professional judgment according to the importance of your business. For investment, medical, legal, education admission, public safety, credit risk, or other high-risk decisions, you should combine authoritative sources and professional advice and should not rely solely on a single API result.
To the maximum extent permitted by law, GuGuData shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of goodwill, business interruption, or data loss arising from the use of or inability to use the Services. Nothing in this Agreement excludes or limits GuGuData's liability for intentional misconduct, gross negligence, personal injury, property loss that cannot be exempted by law, or any other liability that may not be excluded under applicable law.
9. Service Adjustment, Suspension, and Termination
For security, stability, and compliance, GuGuData may adjust, suspend, or terminate Services due to maintenance, capacity adjustment, risk control, laws and regulations, regulatory requirements, third-party dependency changes, or user violations. For material impacts, GuGuData will provide prior or timely notice within a reasonable scope.
If you violate this Agreement, order terms, API documentation, or laws and regulations, GuGuData may restrict calls, suspend Services, freeze accounts, terminate Services, require rectification, or pursue legal liability. For urgent security risks, illegal risks, or conduct that may cause material harm, GuGuData may take necessary measures first.
10. User Indemnity and Cooperation
If your unlawful use, over-scope data use, infringement of third-party rights, key leakage, breach of this Agreement, or failure to obtain necessary authorization causes claims, penalties, losses, costs, or expenses to GuGuData or its affiliates, you shall bear corresponding legal responsibility and cooperate with GuGuData in investigation, evidence preservation, notification, rectification, and dispute handling.
11. Governing Law and Dispute Resolution
The formation, effectiveness, interpretation, performance, amendment, termination, and dispute resolution of this Agreement shall be governed by the laws of mainland China. Any dispute arising from this Agreement or the Services shall first be resolved through friendly negotiation. If negotiation fails, either party may bring a lawsuit before the competent People's Court at GuGuData's principal place of business.
12. Miscellaneous
If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall remain effective. The parties shall replace or adjust the relevant provision within a lawful and reasonable scope that most closely reflects the original purpose.
GuGuData's failure or delay in exercising any right under this Agreement shall not constitute a waiver. Section headings are for convenience only and shall not affect interpretation.
